Terms of Service

Welcome to Medley. These Terms of Service ("Terms") govern your access to and use of the Medley plugin, website, and related services (collectively, the "Service") operated by Medley ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

"Service" refers to the Medley software plugin, website at getmedley.app, application programming interfaces, and all related tools, features, and documentation.

"Plugin" refers to the Medley software that integrates with third-party creative applications, including but not limited to Adobe Creative Cloud applications and Microsoft Office applications.

"User," "you," or "your" refers to any individual or entity that accesses or uses the Service.

"Subscription" refers to a paid plan that grants you access to the Service's features for a specified period.

"Content" refers to any files, digital assets, images, documents, or other materials that you access, manage, or transfer through the Service.

2. Account Registration

To use certain features of the Service, you must create an account. When creating an account, you agree to provide accurate, current, and complete information, and to keep this information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must be at least 16 years of age to create an account and use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

You must notify us immediately at hello@getmedley.app if you become aware of any unauthorized use of your account.

3. Description of Service

Medley is a software plugin that connects digital asset management systems and cloud storage services with creative applications such as Adobe Creative Cloud and Microsoft Office. The Service allows you to browse, search, access, and place digital assets from supported storage providers directly within supported creative applications.

The Service acts as a connector between your existing storage providers and your creative applications. We do not store, host, or take ownership of your Content. Your assets remain in your existing storage services at all times.

4. Subscriptions and Payments

Access to the Service requires a paid Subscription, except for any free tier or trial period we may offer at our discretion. Subscription fees, billing frequency, and included features are described on our Pricing page.

Subscriptions automatically renew at the end of each billing period (monthly or annually, depending on your selected plan) unless you cancel before the renewal date. You may cancel your Subscription at any time through your account dashboard or by contacting us.

All payments are processed by our payment partner, Paddle.com Market Ltd ("Paddle"), who acts as the Merchant of Record for all transactions. Paddle handles billing, invoicing, sales tax, VAT, and other applicable taxes on our behalf. By purchasing a Subscription, you also agree to Paddle's terms of service and buyer terms.

Prices are listed in USD and may be displayed in your local currency at checkout. We reserve the right to change Subscription pricing with at least 30 days' advance notice. Price changes will apply at the start of your next billing period following the notice.

5. Free Trials

We may offer free trial periods at our discretion. At the end of a trial period, your account will be converted to a paid Subscription unless you cancel before the trial expires. We will notify you before any charges are applied.

6. Refunds

Our refund policy is described separately on our Refund Policy page. By using the Service, you agree to the terms of our Refund Policy.

7. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to the Service, other users' accounts, or any systems or networks connected to the Service
  • Reverse engineer, decompile, disassemble, or otherwise attempt to extract the source code of the Plugin, except as permitted by applicable law
  • Copy, modify, distribute, sell, or lease any part of the Service or Plugin
  • Use the Service to transmit malware, viruses, or other harmful code
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service to infringe on the intellectual property rights of any third party
  • Share your account credentials with others or allow multiple individuals to use a single-user Subscription
  • Use automated systems or software to extract data from the Service (scraping)

8. Intellectual Property

The Service, including its code, design, features, documentation, and branding, is owned by Medley and protected by intellectual property laws. These Terms do not grant you any ownership interest in the Service — only a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms and your active Subscription.

You retain all rights to your Content. We do not claim ownership of any files, digital assets, or materials you access or manage through the Service.

9. Third-Party Services

The Service integrates with third-party platforms including, but not limited to, Adobe Creative Cloud applications, Microsoft Office applications, and various cloud storage and digital asset management providers. Your use of these third-party services is governed by their respective terms of service and privacy policies.

We are not responsible for the availability, accuracy, or functionality of third-party services. Changes to third-party platforms may affect the Service's functionality, and we will make reasonable efforts to adapt to such changes, but cannot guarantee uninterrupted compatibility.

10. Service Availability and Modifications

We strive to provide reliable access to the Service but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Service at any time, with reasonable notice when possible.

Scheduled maintenance that may affect Service availability will be communicated in advance when feasible. We are not liable for any disruptions caused by third-party service outages, internet connectivity issues, or circumstances beyond our reasonable control.

11. Privacy

Our collection and use of personal information in connection with the Service is described in our Privacy Policy. By using the Service, you agree to our collection and use of information as described in the Privacy Policy.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Medley and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service, regardless of the cause of action or the theory of liability.

Our total cumulative liability to you for all claims related to the Service shall not exceed the total amount you paid for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.

The Service facilitates access to your Content stored in third-party services. We are not liable for any loss, corruption, or unauthorized access to your Content that occurs within those third-party services.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

14. Indemnification

You agree to indemnify and hold harmless Medley and its officers, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

15. Termination

You may terminate your account at any time by canceling your Subscription and contacting us to delete your account. We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms, with notice where feasible.

Upon termination, your right to use the Service ceases immediately. We are not obligated to retain any data associated with your account after termination, although your Content remains in your own third-party storage services.

16. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or your use of the Service shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.

18. Miscellaneous

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Medley regarding your use of the Service.
